Ionic Digital made a powerful entrance on Nasdaq, with shares jumping 26% to close at $62.90, far exceeding the $50 opening price and marking a $2.8 billion valuation. This debut created a rare liquid market for former Celsius Network creditors holding claims from the crypto lender's bankruptcy.

Facts behind the milestone listing

The closing price topped the $53 Nasdaq reference price by 19%, pushing Ionic’s valuation well beyond the $2.4 billion estimate by Renaissance Capital. It was the largest direct listing on Nasdaq since 2021, notable because no new shares were issued and no fresh capital was raised. Instead, up to 10.8 million existing shares became available to sell, with J.P. Morgan, Jefferies, and BTIG advising the process.

Ionic Digital emerged in January 2024, born from Celsius Network’s bankruptcy to acquire and manage its mining assets. However, the company quickly pivoted from bitcoin mining toward AI infrastructure leasing. Anchoring this transition is a $1.95 billion, 126-month contract with Nscale. As of March 31, Ionic holds nearly 2,816 bitcoins valued at $192.1 million and forecasts revenues up to $195 million for 2026.

Market and industry reaction

Investors showed strong appetite for Ionic’s Nasdaq debut despite the unusual route of a direct listing without underwriters backing the price. The $53 reference price reflected the Series A convertible preferred stock price sold to institutional investors last June, which converted to common stock at listing. The shift from crypto mining to AI infrastructure also reflects a broader trend in the industry, where players seek to capitalize on AI’s explosive growth after years of crypto market volatility.

This transition and the high-profile listing come as AI integration gains traction across fintech. Earlier moves by firms such as Visa have quietly pushed into AI and stablecoins, highlighting how digital finance is evolving rapidly. Ionic’s success may set a precedent for other companies emerging from crypto restructurings to pursue new tech avenues.
