SpaceX has announced its acquisition of Cursor, a rapidly growing AI coding tool, in a historic all-stock deal valued at $60 billion. This acquisition represents the largest software purchase to date and follows closely behind SpaceX's record-setting IPO.
The acquisition, confirmed through an official filing, is intended to leverage Cursor's technology to enhance AI development. Cursor, created by Anysphere, has over one million paying users, with annual revenue exceeding $2 billion. Projections suggest this could grow to $6 billion by the end of 2026. At a valuation of $60 billion, SpaceX is paying approximately 20 to 30 times Cursor's current revenue, indicating expectations for significant growth.
Approval from regulatory authorities is required for the deal, with completion anticipated in the third quarter of 2026. SpaceX has already been collaborating with Cursor, with teams jointly developing a new AI model that is set to be integrated into both Cursor and Grok Build platforms soon. This early collaboration underscores the urgency and importance SpaceX places on this integration.
The historical significance of this acquisition cannot be overstated. Cursor has introduced a new category of AI interaction termed vibe coding, changing how many professional developers approach software creation. Its extensive user base and significant revenue highlight its market relevance as SpaceX aims to align itself with pioneering software technologies.
In this all-stock transaction, Cursor shareholders will convert their shares into SpaceX’s Class A common stock, thereby tying their fortunes to SpaceX's public performance. Notably, the acquisition carries a termination fee clause; if the transaction fails to close, SpaceX is obligated to pay Cursor $1.5 billion in cash and $8.5 billion in computing resources, indicating the high stakes involved.
