EasyJet’s stock experienced a 10.5% increase on Monday, reaching a new 52-week high after reaching an agreement in principle with Castlelake for a £5.5 billion ($7.3 billion) takeover.

The budget airline's shares peaked at 617p, a significant rise from Friday's close of 558.2p. The acquisition offer values EasyJet at 690p per share, providing around a 20% premium compared to its trading price before the announcement.

Background of the Deal

This marks Castlelake’s fifth bid for EasyJet since its initial approach on May 29, where the starting offer was set at 560p per share. Each subsequent bid has led to an increase in the proposed price.

Prior to this agreement, EasyJet's board rejected a £4.93 billion offer last month. The latest proposal was finalized over the weekend, with both parties extending the deadline for a firm offer until August 3 at 5 p.m. London time. If Castlelake does not present a solid offer by then, they will need to withdraw from negotiations.

Analysts from Bernstein have raised concerns that Castlelake may choose to dismantle EasyJet and sell its assets individually rather than operate the airline as a unified entity. The airline possesses a modern Airbus A320-family fleet and valuable landing slots at major airports, which are of high interest to prospective buyers.

Bernstein stated, “We view the acquirer’s status as a major player in the aircraft leasing business, but not a traditional private equity firm, as likely indicating a future break-up of the company and separation of its valuable assets.” Such an asset break-up could impact aircraft supply within the European aviation market, potentially benefiting rival carriers.
