The financing deal involves the issuance of 619,965 common shares and warrants. Both warrant series included in the deal come with an exercise price of $6.21 per share and can be exercised immediately. Exercising the warrants offers the potential to raise an additional $7.7 million for Silo Pharma.
Details of the Financing Agreement
The terms of the private placement stipulate a purchase price of $6.452 for each security package, which follows Nasdaq’s at-the-market pricing regulations. Silo Pharma also issued two groups of warrants: Series A-3 and Series A-4. Each series permits holders to acquire an additional 619,965 shares, but they come with different expiration terms.
- Series A-3 warrants expire five years after the registration statement becomes effective.
- Series A-4 warrants have a shorter lifespan, expiring after 18 months from the effective date.
Expected Outcomes and Use of Proceeds
Silo Pharma anticipates gross proceeds of approximately $4 million from the private placement, excluding transaction-related fees. The funds will be allocated toward working capital and general corporate purposes, aimed at bolstering operational support while various drug programs are in development. The transaction is set to close around July 10, pending standard closing conditions.
Additionally, the securities were offered under exemptions found in Section 4(a)(2) and Regulation D, meaning they have not been registered under federal or state securities laws. Consequently, resale of these shares will be limited unless registration or another exemption is applicable. A registration rights agreement tied to the securities mandates that Silo Pharma file necessary documents with the Securities and Exchange Commission.
