Shaw Walters emptied the Eliza foundation's treasury to settle a lawsuit he says the project couldn't afford to fight. The move marks the end of the Eliza token, though the underlying open-source AI framework will continue development independently.

The settlement came after Burwick Law filed a federal class action in April against Walters, Eliza Labs, and affiliates, alleging false advertising and deceptive practices. The lawsuit claimed the project marketed itself as an autonomous AI-managed venture fund while remaining under Walters' control, and challenged the token migration from ai16z to ElizaOS as dilutive to existing holders. Rather than contest the case, the foundation transferred its remaining funds to a group of token holders and called it done.
